Fund Structuring & Execution

Our fund structuring experts can help in start-up funds looking to structure new vehicles to invest in various assets or their derivative subclasses.

Our team can provide expertise to both financial institutions and fund managers looking to manage “real asset” portfolios of infrastructure, real estate, and private equity. Additionally we can also provide in-house expertise on managing related equity, derivative, debt, inflation-linked, and securitised portfolios in related business areas for implementation and onward delivery to the institution or fund manager’s own client base. Our service ranges from analysis of macro and micro economic variables, and real asset fundamentals through to fund structuring, acquisitions and asset management.

With the development of the indirect vehicles market, the fund structuring team can also work with financial institutions and fund managers to develop their own branded indirect investment structures, whether bespoke segregated account mandates or collective investment schemes.

Our specialist services include:

Investment strategy

Provision of advice and analysis of economic and direct real asset market fundamentals leading to the appropriate investment strategy.

Fund structuring and execution

Creation of an appropriate fund structure to optimise risk/return characteristics (addressing regulation, tax and investor requirements) and execution/project management.

Asset selection

Identification and acquisition of real assets that match the investment strategy with associated debt finance advice.

Asset management

Asset management of the real asset or other portfolio over the life of the fund in order to maximize returns, including financial reporting, risk management and exit strategy.

Fund Distribution (Internal & 3rd Party Funds)

Our distribution team is responsible for both in-house and external fund placement efforts. Our firm aims to become a global placement agent for private equity funds, providing superior service to private equity firms and can be hired as a placement agent for a select number of high-quality private equity funds. Our firm will aim to build on it’s relationships of trust with institutional investors, pension funds, endowments, banks, asset and wealth managers, and family offices and trusts throughout the world. This network is strengthened and expanded through the firm’s agreements with its global partners in regional markets.

The traditional role of a placement agent has been to introduce General Partners (GPs) to suitable investors.

However, as market conditions have toughened, investors have raised the quality bar and have begun to ask more demanding and sophisticated questions of GPs. The latter have therefore faced heavier demands on their time: preparing sufficient pre-marketing material; attending first, second, third and even further meetings with investors; and fielding manifold and detailed follow-up requests.

The role of the placement agent has therefore broadened to include advice to GPs on how to approach investors; assistance with pre-marketing preparation; and project management of an increasingly complex fund-raising process.

Given these considerations, the choice of placement agent can be crucial in determining the success of a fund-raising. Our firm is ideally placed to manage this process: ensuring, on the one hand, that GPs are sufficiently prepared for investor demands; and, on the other, that investors are able to make their decisions on the basis of well-researched information.
